Objectivos
This course aims at providing students with general knowledge regarding Portuguese Business Law.
Upon successful completion of this course the student shall inter alia develop Business Law vocabulary, explain fundamental Business Law concepts and discuss topics relating to Business Law.
Students should understand the concept and types of companies distinguishing commercial from non-commercial companies.
With regard to commercial companies, should assimilate the basic rules of management and operation, the mergers and the acquisition processes and situations where and why a company goes into insolvency.
It is preponderant to understand the rules of competition law and industrial property law. Finally, the student should master the general rules on key commercial agreements.

Basic concepts of Business Law.
The importance of Business Law.
Business Law:
- The Commercial Code;
- Traders;
- Obligations of the Traders;
- Articles 2, 13 and 230 of the Commercial Code.
Commercial Companies in Portugal:
- Types;
- The Portuguese Companies Code;
- Relevant aspects of the applicable regime.
Mergers and Acquisitions.
Insolvency.
Competition Law (brief study).
Industrial Law - Trademarks and Patents.
Commercial Agreements.
Metodologia de avaliação
This evaluation includes the mandatory completion of 1(one) mini-test in the mid term assessment period and the assessment of the student's intervention in the classroom (face to face and at distance) and of written essays (optional), with mandatory attendance (face to face/ at distance) of theoretical and practical classes.
Classes attendance (Mandatory):
A minimum of 80% (eighty per cent) of attendance, of all classes (both theoretical and practical), is mandatory, in order for students to benefit from evaluation along the semester - ETS.
Mini-test (Mandatory):
The mini-test shall have the maximum duration of 2 hours. The mini-test will be held on a date to be announced. Students may only consult the legislation uploaded in Aquila.
Intervention in Class and Written Essays:
Participation and commitment of students in class and spontaneous written essays are optional. Nevertheless, these may be considered in the attribution of the final grade (with a maximum of 2 points), but only if they are globally positively marked by the teacher.
Evaluation by means of a Final Written Exam:
All students must enroll on the Final Written Exam of the Regular Season on date and relevant proceedings to be announced in Aquila.
Should the grade obtained in the Final Written Exam be higher than the one obtained in the mandatory mini-test, the grade of the Final Written Exam shall prevail.
Should the grade obtained in the Final Written Exam be lower than the one obtained in the mini-test, then a 50% average between the two scores shall apply.
If students intend to improve their grade, they will be able to do so on the Final Written Exam of the Appeal Season on date and relevant proceedings to be announced in Aquila.
Only Portuguese legislation in force may be consulted during the Mid Term Test and the Final Exam, unless English version of the Portuguese legislation is not available, in which case the relevant study materials can be consulted.
